准契约的准据法  准契约为契约以外的债务关系,即没有双方当事人的同意,由于一方的行为或事实依法律规定所产生的债务关系。就大多数国家而言,准契约包括无因管理及不当得利,其准据法没有区别;有的法律将两者分别加以规定,其准据法也有所不同。    事实发生地法  依大多数国家法律的规定,准契约的准据法为事实发生地法。其理由在于准契约既然由于一方的行为或事实所产生,无因管理行为的实施地、不当得利的给付地就是这种法律关系的所在地,当然是最自然的连结因素(见连结根据),这是一个客观的,不偏袒任何一方的因素,也是实际上最方便的因素,因为判断一个行为是否有正当原因和是否发生债务关系,只能根据这个地方的法律的规定。    支配原来法律关系的法律  如果无因管理或不当得利不是由一个独立的行为或事实所构成,而是由原先存在的法律关系所产生,例如由于代理人的越权或代理关系消灭后所产生的无因管理,由于买卖合同无效或被取消而产生的不当得利,这时就应适用原来支配代理关系及买卖合同的法律来处理这种无因管理及不当得利,即适用支配其所由产生的法律关系的法律,而不适用事实发生地法。因为在这种情况下,事实发生地只是一个偶然的连结因素,而原先的法律关系是决定性的因素。1940年的蒙得维的亚《国际民法条约》第43条末句,和《布斯塔曼特法典》第222条,都采取这个主张。    其他法律  由于侵权行为和准契约都由当事人双方中的一方造成,二者虽有违法与不违法之分,但有的国家对二者不加区别,二者的准据法也没有区别。例如1942年《意大利民法典》前加编第25条规定,以侵权行为的准据法为准契约的准据法。在分别规定无因管理及不当得利的法律中,例如《布斯塔曼特法典》,则规定无因管理依事实发生地法,而不当得利首先依各当事人的共同属人法,无共同属人法时才依给付地法。这种见解受19世纪后期欧洲大陆法系影响,是扩大属人法的适用范围的反映。    判断无因管理财产行为所产生的物权效果,以及财产权是否已经取得或消灭,适用财产所在地法。
